These Terms of Use (“Terms”) govern your access to and use of the Guru54 website at https://guru54.com, the Guru54 mobile applications, and related features and services (together, the “Service”). The Service is operated by Guru54 in Nigeria.

By creating an account, accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If the law where you live requires a higher minimum age, or requires parental or guardian authorisation, you may use the Service only after meeting that requirement. You must have the legal capacity to enter into these Terms. If you use the Service for a business or organisation, you confirm that you are authorised to bind that business or organisation to these Terms.

2. Your account

You must provide accurate information and keep it reasonably current. You are responsible for protecting your password, verification codes and devices, and for activity conducted through your account. Do not sell, transfer, rent or share access to your account. Tell us promptly through our Contact Us page if you believe your account has been compromised.

You may have only those accounts permitted by the Service. We may require identity or business verification before providing verification status, monetisation, withdrawal, higher limits or other sensitive features. Verification does not constitute an endorsement or guarantee by Guru54.

3. The Service

Guru54 provides social and community features that may include profiles, feeds, posts, comments, messaging, photos, videos, audio, stories, reels, live sessions, pages, groups, events, blogs, forums, courses, jobs, offers, marketplace listings, subscriptions, advertising, wallet functions and rewards. Features may differ by country, device, account, app version or eligibility, and may be added, changed, suspended or discontinued.

You are responsible for the internet connection, compatible device, software and carrier charges needed to use the Service.

4. User content

“User Content” means information or material that users upload, publish, stream, transmit, sell, list or otherwise make available through the Service. You retain ownership of rights you hold in your User Content and remain responsible for it.

When you provide User Content, you grant Guru54 a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, adapt for technical purposes, transmit, distribute, display and otherwise use that content only as reasonably necessary to operate, secure, improve and provide the Service in accordance with your audience and privacy settings. This licence ends when the content is deleted from our active systems, except where a copy must remain temporarily in backups, for legal or safety reasons, or because another user has independently copied or re-shared it.

You confirm that you own your User Content or have all permissions needed to use it and grant this licence. You also confirm that your User Content and our permitted use of it do not violate law, another person’s rights or these Terms.

5. Acceptable use

You must not use the Service to:

• commit, promote or facilitate an illegal, fraudulent or deceptive act;
• harass, threaten, stalk, exploit or defame another person;
• publish hate speech, terrorist content, violent threats, or content that promotes discrimination or serious harm;
• create, request, store or distribute child sexual abuse material, sexual exploitation, non-consensual intimate material or any content that endangers a child;
• impersonate another person or misrepresent your identity, affiliation, qualifications, product, service or opportunity;
• infringe copyright, trade mark, privacy, publicity, confidentiality or other rights;
• send spam, run scams, manipulate engagement, coordinate fake reviews or distribute misleading commercial content;
• sell or advertise prohibited, unsafe, counterfeit or unlawfully obtained goods or services;
• upload malware, attempt unauthorised access, probe security, disrupt the Service or bypass a technical restriction;
• scrape, harvest or collect data by automated means without our written permission;
• use bots or automation to create accounts, publish content or interact in a way that misleads users or burdens the Service; or
• use the Service or its content to violate applicable sanctions, export controls or other law.

You must obtain consent before recording a call, live session or another person, and must comply with local privacy, recording and communications laws.

6. Community safety and moderation

Users can report content or accounts and may have tools to block or restrict other users. We may review, reduce distribution of, restrict access to, remove or preserve User Content, and may warn, limit, suspend or terminate accounts when we reasonably believe this is necessary to enforce these Terms, protect users, comply with law, respond to a report, investigate abuse or protect the Service.

We are not required to pre-screen all User Content and cannot guarantee that all content is accurate, lawful or appropriate. Views expressed by users are their own and do not necessarily represent Guru54.

7. Marketplace, jobs, courses and other listings

Unless a listing clearly states that Guru54 is the seller or provider, Guru54 supplies the platform and is not a party to a transaction, employment relationship, course, service or agreement between users. Users are responsible for checking identities, qualifications, prices, descriptions, legality, quality and safety before acting on a listing or sending money.

Guru54 does not guarantee a job, income, sale, result, return, certification, buyer, seller or opportunity. Never send money or sensitive information unless you understand the transaction and trust the other party. Report suspected fraud to us and to the relevant authority or payment provider.

8. Purchases, subscriptions, wallet and rewards

Some features may require payment or offer optional subscriptions, in-app purchases, paid content, wallet balances, virtual rewards, transfers or withdrawals. Prices, currency, billing period, taxes, fees and material conditions will be shown before a transaction where required.

• App-store billing: eligible Android purchases are processed by Google Play and are also subject to Google Play’s payment, cancellation and refund terms. Manage an app-store subscription through the account used to make the purchase.
• Other payment providers: website or eligible payment transactions may be processed by Stripe, bank transfer or another displayed provider and are subject to that provider’s terms.
• Subscriptions: an automatically renewing subscription continues for the disclosed billing period until cancelled. Cancelling stops future renewal but normally does not reverse the current paid period, except where law or the relevant store requires otherwise.
• Wallet and rewards: a Guru54 wallet or virtual balance is a Service feature, not a bank account, deposit account or investment, and does not earn interest. It may be limited to uses shown in the Service. Withdrawals are available only where enabled and may be subject to eligibility, minimum amounts, identity checks, fees, limits, fraud review and supported payout methods.
• Rewarded ads: watching a rewarded ad is optional. Any displayed reward is provided only after successful completion and verification. Attempts to automate, manipulate or fraudulently obtain rewards may result in reversal and account restriction.

Except where applicable law or the payment provider requires otherwise, completed purchases of digital features or content are final and non-refundable. We may correct pricing or balance errors and reverse fraudulent, duplicated, charged-back or improperly credited transactions. You are responsible for taxes arising from income, sales or withdrawals unless law requires us to collect or withhold them.

9. Advertisements and third-party services

The Service may show advertisements and links, embeds or features supplied by third parties. Guru54 does not endorse or control a third-party website, product, content or service merely because it appears in the Service. Your dealings with an advertiser or third party are between you and that party and are subject to its terms and privacy policy.

10. Intellectual property

The Service, including its software, design, branding, logos and content supplied by Guru54, is owned by or licensed to Guru54 and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no right is transferred to you. You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from the Service except as permitted by law or with our written permission.

If you believe content on the Service infringes your copyright or other rights, submit a notice through our Contact Us page. Include your contact details, identification of the protected work, the location of the material, the reason for your claim, a statement that your notice is accurate and any declaration or signature required by applicable law.

11. Feedback

If you voluntarily give us ideas, suggestions or feedback, you allow us to use them without restriction or payment, provided that this does not give us ownership of personal data contained in the feedback.

12. Suspension, termination and deletion

You may stop using the Service at any time. You can request account deletion through the Delete Account option in the app or at https://guru54.com/settings/delete.

We may limit, suspend or terminate access if you materially or repeatedly breach these Terms, create legal or security risk, fail required verification, engage in fraud or harmful conduct, or if we are required to do so by law. Where appropriate and legally permitted, we may provide notice or an opportunity to appeal. Provisions that by their nature should continue after termination—including provisions on ownership, transactions, disclaimers, liability and disputes—will survive.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”. Guru54 does not guarantee uninterrupted, error-free or completely secure operation, or that User Content, listings, advice, opportunities or third-party services are accurate, safe, available or suitable for you. You use User Content and interact or transact with other users at your own judgement and risk.

Nothing in the Service is professional financial, legal, medical, employment or investment advice. Obtain qualified advice where appropriate. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

14. Limitation of liability

To the fullest extent permitted by law, Guru54 and its officers, workers and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, data, goodwill, opportunity or business arising from or related to the Service. This limitation does not apply to liability that cannot lawfully be limited or excluded.

15. Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold Guru54 harmless from third-party claims, liabilities, damages and reasonable costs arising from your unlawful use of the Service, your User Content, your transaction with another user, or your material breach of these Terms or another person’s rights.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts with competent jurisdiction in Nigeria will have jurisdiction over disputes, except where mandatory consumer law gives you the right to bring a claim elsewhere. Before filing a claim, you and Guru54 should first try in good faith to resolve it through our Contact Us page.

17. Changes to the Service or Terms

We may update these Terms to reflect changes in the Service, law or our practices. We will post the revised Terms and update the “Last updated” date. If a change materially affects your rights, we will provide additional notice where required. Continued use after the revised Terms take effect means you accept them, to the extent permitted by law.

18. General terms

If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our permission. We may transfer our rights and obligations as part of a reorganisation, merger, acquisition or sale of the Service, subject to applicable law. These Terms and the Privacy Policy form the agreement between you and Guru54 regarding the Service.
